Digital, Physical, and Program Materials Usage & Limited License Agreement (“Agreement”) is entered into between Reiner and Company, LLC dba Well-Balanced Worklife (“Company,” “we,” “us,” or “our”) and the individual purchasing, enrolling in, or accessing our products, programs, or materials (“you” or “your”). By purchasing, downloading, accessing, or participating in any of our products, courses, or coaching programs, you agree to the terms in this Agreement.

DEFINITIONS

For purposes of this Agreement:

“Products” means any digital or physical items we sell or give away, including workbooks, journals, affirmation cards, books, worksheets, audio files, and similar resources.

“Programs” means any structured service we provide, including but not limited to the Well-balanced Blueprint 13-week program with live cohort calls, one-on-one coaching, private podcast access, and any related course materials.

“Materials” means all content provided through our Products or Programs, including but not limited to PDFs, slides, videos, audios, templates, graphics, guides, and recordings.

SCOPE OF LICENSE

This Agreement applies to all physical products, digital products, and program materials provided by the Company, including but not limited to workbooks, journals, affirmation cards, books, worksheets, audio files, videos, slides, templates, and any related content. You are granted a limited, non-transferable, exclusive, revocable license for personal, non-commercial use only. This means you may use our products and materials solely for your own personal benefit, you may not transfer your license to anyone else, we reserve the right to revoke your license at any time if you violate these terms, and you may not use our products for any income-generating activity without our written permission.

OWNERSHIP & DURATION

When you purchase a physical product from Well-balanced Worklife, you own the physical copy you have purchased, but you do not own the copyrights, trademarks, or other intellectual property associated with that product. You may not reproduce, scan, or distribute any portion of a physical product without our written permission.

When you purchase or access a digital product, you are licensed, not sold, the right to use the file for your personal use. You do not own the digital file itself, and you may not reproduce, distribute, or share it with others.

For program content provided as part of the Well-balanced Blueprint or any other Company-led program, including course materials, session recordings, and private podcast episodes, your access will continue for as long as the Company continues to operate and host the program content, unless otherwise stated in writing. If the program or Company discontinues operations, access may end without notice.

PROGRAM ACCESS AND DURATION

Access to online course materials is provided for the stated duration in your program welcome materials.

Live cohort calls may be recorded for participant review; recordings are for your personal use only and may not be shared.

One-on-one coaching sessions may be recorded and shared with you privately; these are confidential and not to be distributed.

PERMITTED USES ("YOU MAY")

You may access and use the products, programs, and materials you purchase or receive from us solely for your personal use. This includes downloading and/or printing permitted digital resources for personal reference, using physical products in your personal life, viewing or listening to program recordings during your access period, and gifting a physical product to another person for their personal use, provided it is not reproduced, scanned, or copied.

PROHIBITED USES ("YOU MAY NOT")

You may not resell, trade, or share your access to any product, program, or material. You may not provide your login or access credentials to non-purchasers or non-participants. You may not reprint, republish, or distribute our materials in whole or in part, claim our products or content as your own, or modify, reproduce, scan, photograph, or adapt them for distribution. You may not use our products, programs, or materials for any commercial purpose or within your own offerings without our written permission, and you may not use them in any unlawful way.

PROGRAM PARTICIPATION RULES

If you enroll in a Company program, you agree to participate respectfully, attend scheduled sessions on time, and honor the confidentiality of all participant information shared in live sessions. You may not share or distribute program recordings, group discussions, or other program content outside the program environment.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company expressly disclaims any and all liability arising from or related to your use of any products, programs, or materials, whether created by humans, AI tools, or a combination of both. This includes, without limitation, any losses, damages, injuries, or consequences resulting from decisions or actions taken based on such content. All products, programs, and materials are provided “as is,” without warranties of any kind, either express or implied.

NO PROFESSIONAL ADVICE

All products, programs, and materials, whether physical, digital, or provided through coaching, are for educational and personal development purposes only. They are not medical, legal, financial, or therapeutic advice. You are solely responsible for how you choose to use any information, tools, or materials we provide, and you should consult a qualified professional before making decisions that could impact your health, finances, legal situation, or other important areas of your life.

VIOLATION OF LICENSE TERMS

If you use our products, programs, or materials outside the scope of this Agreement, we reserve the right to immediately revoke your access without refund and to pursue legal action as allowed by law.

INTELLECTUAL PROPERTY

All products, programs, and materials are protected by copyright, trademark, and other applicable intellectual property laws. This Agreement does not transfer ownership rights to you, and all rights not expressly granted are reserved by the Company.

USER RESPONSIBILITY

It is your responsibility to independently verify the accuracy, completeness, and appropriateness of all information obtained from our products, programs, or materials before relying on it. This includes, but is not limited to, any content that may influence your business, legal, financial, health, or personal decisions. You understand that any actions you take based on our content are made at your own risk, and you agree that the Company will not be held liable for the results of those actions.

ENTIRE AGREEMENT

This Agreement, together with our Terms & Conditions, Disclaimer, and AI Usage Disclaimer, constitutes the entire agreement between you and the Company regarding your use of our products, programs, and materials. It supersedes all prior communications, whether electronic, oral, or written.
